Compensation

01 Late payment

Invoices are due within [14] days of the invoice date. Overdue balances accrue interest at [1.5]% per month (or the maximum rate permitted by law, whichever is lower), beginning the day after the due date. Work in progress may be paused while any invoice remains more than [14] days overdue.

02 Cancellation (kill fee)

Either party may terminate this agreement with written notice. Upon termination by the Client, the Client will pay for all work completed to date, plus a cancellation fee of [30]% of the fees for the remaining uncompleted work. All completed work and rights transfer to the Client only upon full payment.

03 Deposit and milestones

A non-refundable deposit of [30]% of the project fee is due before work begins and reserves the project start date. The remaining balance is due in [2] milestone payments tied to the deliverables listed in the project scope. Each milestone is invoiced upon delivery and due within [14] days; subsequent work begins upon payment.

04 Scope changes

The project scope is defined in [the attached statement of work]. Requests outside that scope are welcome and will be quoted separately as a change order at [the standard hourly rate], with any impact on the timeline stated before work begins. Change orders take effect upon written approval.

05 Ownership and portfolio rights

Upon receipt of full payment, the Contractor assigns to the Client all rights, title, and interest in the final deliverables. The Contractor keeps the right to show the work in portfolios and pitches, and to reuse non-confidential techniques, know-how, and generic components. Preliminary concepts the Client does not select remain the Contractor's property.

06 Confidentiality

Each party will keep the other party's non-public business information confidential and use it only as needed to perform this agreement. This obligation survives the end of the agreement for [2] years. Information that is public, independently developed, or lawfully received from a third party is not covered.

07 Independent contractor status

The Contractor is an independent contractor, not an employee, partner, or agent of the Client. The Contractor decides how and when the work gets done, provides their own equipment, and is responsible for their own taxes, insurance, and benefits. Nothing in this agreement creates an employment relationship.

08 Limitation of liability

Each party's total liability under this agreement is limited to the total fees paid or payable for the project. Neither party is liable for indirect, incidental, or consequential damages, including lost profits. Nothing in this clause limits liability for willful misconduct or anything that cannot be limited by law.
